1. Overview & Acceptance
These Terms of Use ("Terms") govern your access to and use of the SkyCore Licence platform, website, and services (collectively, "Services") operated by SkyCore Host Ltd ("SkyCore", "we", "our", or "us"). By creating an account, placing an order, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our Services. We reserve the right to update or modify these Terms at any time. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. We will endeavour to notify registered users of material changes by email or via an in-platform notice.
These Terms apply to all visitors, registered users, and customers of SkyCore Licence.
2. Eligibility & Account Registration
You must be at least 18 years of age and capable of entering a legally binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.
Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate, current, and complete information during registration and keep it up to date.
- You must notify us immediately at support@skycorelicence.com if you suspect any unauthorised access to your account.
- You may not share your account with any other person or use another user's account without permission.
- We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being misused.
3. License Usage
SkyCore Licence acts as an authorised reseller of software licenses issued by third-party vendors including but not limited to cPanel LLC, CloudLinux Inc., LiteSpeed Technologies, Plesk International GmbH, WHMCS Ltd, and JetApps Ltd. Your use of any license purchased through our platform is also subject to the respective vendor's end-user license agreement (EULA).
License Terms
- Licenses are issued on a subscription basis and are valid only for the IP address or server specified at the time of purchase, unless the vendor permits transfers.
- You must not use a license on more servers, IP addresses, or accounts than permitted by the applicable EULA.
- License keys are for your own use or for servers you manage directly. Resale or sub-licensing of keys is not permitted without our prior written consent.
- You are responsible for ensuring any server on which a license is installed meets the vendor's minimum requirements.
- SkyCore is not liable for any service interruptions caused by vendor-side changes to license validation, API availability, or product features.
4. Payment & Billing
All prices displayed on the SkyCore Licence platform are in US Dollars (USD) unless stated otherwise. Prices are exclusive of any applicable taxes, which may be added at checkout depending on your jurisdiction.
Billing Cycle
- Subscriptions are billed monthly in advance on the anniversary of your initial purchase date.
- We will send a renewal reminder at least 7 days before the next billing date to the email address registered on your account.
- If an automatic payment fails, we will retry the charge. Persistent payment failures may result in license suspension.
- You are responsible for ensuring your payment method remains valid and up to date.
Pricing Changes
We reserve the right to adjust pricing at any time. Where pricing changes affect existing subscriptions, we will provide at least 30 days' notice via email before any price increase takes effect on your account.
5. Refunds & Cancellations
Due to the instant digital delivery nature of software licenses, we operate a limited refund policy.
Eligibility for Refunds
- Within 48 hours of purchase: If a license key was never successfully activated on a server and you can demonstrate this, you may request a full refund.
- Technical failure: If we are unable to deliver a working license key after 3 business days due to a fault on our side, you are entitled to a full refund.
- Duplicate charges: Accidental duplicate orders will be refunded in full upon verification.
- We do not offer refunds for licenses that have been activated, partially used, or where the cancellation request is made after the billing cycle has commenced beyond the 48-hour window.
How to Cancel
You may cancel any subscription at any time from your client dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for the unused portion of a billing cycle following cancellation.
6. Prohibited Uses
You agree not to use the Services for any purpose that is unlawful, harmful, or violates these Terms. Prohibited conduct includes but is not limited to:
- Using licenses to host, distribute, or facilitate malware, spam, phishing, or other malicious content.
- Attempting to circumvent, reverse-engineer, or tamper with any license key, activation mechanism, or API.
- Reselling or transferring license keys to third parties without explicit written authorisation from SkyCore.
- Creating multiple accounts to circumvent usage limits or obtain unauthorised discounts.
- Using automated scripts or bots to interact with our platform in a manner that places undue load on our infrastructure.
- Impersonating SkyCore Licence, our staff, or any other entity in connection with our Services.
- Violating any applicable local, national, or international law or regulation.
Violation of this section may result in immediate account suspension or termination without refund, and may be reported to relevant authorities where required by law.
7. Liability & Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, SkyCore Host Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
In no event shall our total aggregate liability to you exceed the greater of: (a) the total amount you paid to SkyCore in the 3 months preceding the event giving rise to the claim, or (b) £100 GBP.
Indemnification
You agree to indemnify, defend, and hold harmless SkyCore Host Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms or your use of the Services.
8. Termination
Either party may terminate the service relationship at any time. You may close your account from the client dashboard at any time. We may suspend or terminate your access to the Services immediately and without notice if:
- You breach any provision of these Terms and fail to remedy the breach within 5 days of written notice.
- You engage in conduct we reasonably determine to be harmful to other users, our infrastructure, or third parties.
- We are required to do so by law or a regulatory authority.
- Continued provision of the Services becomes commercially impractical due to changes in vendor licensing agreements.
Upon termination, all active licenses associated with your account will be cancelled and you will lose access to the client portal. Any outstanding invoices remain due and payable. Provisions of these Terms that by their nature should survive termination will continue to apply.
9. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal dispute, you agree to first contact us at legal@skycorelicence.com to attempt resolution in good faith. We will endeavour to respond within 5 business days.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
